One app, one agreement

The agreement

These Terms of Use ("Terms") form a binding agreement between you and Uri Nachmias, an individual sole proprietor (referred to here as "we", "us", or "Pica Notes"), and govern your use of the Pica Notes iOS and macOS apps and the picaapps.com website (together, the "Service").

By downloading, installing, or using the Service you agree to these Terms. If you do not agree, do not use the Service.

These Terms sit alongside Apple's Standard EULA for App Store apps. Where the two conflict, the more user-protective term applies.

Geographic scope

The Service is available only in App Store regions where we have published it. See the app's App Store listing for the current list of supported countries. We do not offer the Service in the European Economic Area. If you are accessing the Service from a region where we do not distribute it, you are not authorised to use it, and these Terms are not drafted to satisfy that region's consumer-protection law.

For users in the United Kingdom and Switzerland, these Terms apply alongside any local consumer-protection law that cannot be excluded by agreement.

Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of legal majority in your jurisdiction, you confirm that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Your content

You do not create a Pica Notes account. Your notes, audio recordings, transcripts, and any other content you create inside the Service ("Your Content") are stored on your device and, if you enable iCloud Drive, synced through your own Apple ID via Apple's CloudKit framework.

  • Ownership. Your Content belongs to you. We claim no rights of ownership over anything you write or record in the Service.
  • Responsibility. You are solely responsible for Your Content, for backing it up, and for ensuring you have the legal right to record, store, and process it.
  • Our access. We do not have access to Your Content. We have no way to recover lost notes, restore deleted recordings, or read your transcripts.

Acceptable use

You agree not to use the Service to:

  • Record any person without obtaining the consent required by the laws applicable to your location, the location of every other participant, and the type of conversation. Recording consent law varies by jurisdiction; you are solely responsible for compliance. The in-app "Privacy & Recording Laws" screen and consent script are general informational tools, not legal advice.
  • Store, process, or transmit content that is unlawful, harassing, defamatory, infringing, or that violates the rights of any third party.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the limited extent expressly permitted by law.
  • Probe, scan, or test the Service for vulnerabilities, or breach any security measure, unless we have authorised you in writing.
  • Use the Service in any way that would cause us to violate the App Store Review Guidelines or our agreement with Apple.

We may suspend or terminate your use of the Service if you violate these Terms, without notice if the violation is material.

The transcription feature

The Service includes an opt-in feature that records audio and converts it to text on your device using on-device machine-learning models (OpenAI Whisper and FluidAudio's speaker-diarisation model). Important things to understand:

  • Transcription runs entirely on your device. We never receive your audio or your transcript.
  • On-device transcription is imperfect. Output may contain errors, mistranscribed names, missed speakers, or wrong words. Do not rely on the output for legal, medical, or other consequential decisions.
  • Recording laws are jurisdictional and we cannot determine which laws apply to you. The in-app explainer summarises commonly-applicable rules but is not legal advice. You alone are responsible for obtaining consent and complying with the law in every jurisdiction relevant to the recording.

AI-generated summaries

The Service can generate short titles and summaries using Apple's on-device Foundation Models framework. Output is produced locally and may be inaccurate, incomplete, or biased. Do not rely on AI-generated summaries as a substitute for reading the underlying note.

Subscriptions, billing & refunds

The Service is offered on a freemium basis:

  • The free tier allows up to 10 notes per Apple ID.
  • A paid subscription ("Pica Notes Pro") removes the limit. The current price is shown on the in-app paywall and may change; existing subscribers are billed at the price they originally accepted until they cancel.

Subscriptions are sold and managed through Apple, not by us. By subscribing you also agree to Apple's Media Services Terms:

  • Payment. Apple charges your Apple ID at confirmation of purchase.
  • Auto-renewal. Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the period ends.
  • Managing or cancelling. Use iOS Settings → Apple ID → Subscriptions, or macOS App Store → Account → View Information → Subscriptions.
Refunds

All refunds are handled through Apple's standard refund process at reportaproblem.apple.com. We do not issue refunds directly and cannot reverse a charge on Apple's behalf.

Third-party services

The Service interoperates with the following third parties, each governed by its own terms:

  • Apple Inc. (App Store, StoreKit, iCloud / CloudKit, Foundation Models). Subject to Apple's Media Services Terms and Privacy Policy.
  • WhisperKit, FluidAudio, and the underlying open-source models used for on-device transcription and diarisation. Subject to their respective MIT / Apache 2.0 licences (see in-app Settings → Open Source).
  • Sentry (crash diagnostics) and PostHog (product analytics), used only if you opt in. Their privacy practices are described in our Privacy Policy.
  • Google LLC, used to receive feedback you choose to submit through the in-app form.

You are responsible for reviewing each third party's terms before relying on the Service.

Open-source notices

Pica Notes incorporates open-source components. The full attribution list with licence text is available in the Service at Settings → Open Source and in the public LICENSES.md file in the project repository.

Warranty & liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT TRANSCRIPTIONS OR AI SUMMARIES WILL BE ACCURATE, OR THAT ICLOUD SYNC WILL PRESERVE EVERY NOTE. YOU ARE SOLELY RESPONSIBLE FOR BACKING UP YOUR CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, LOST RECORDINGS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE, IN AGGREGATE, IS LIMITED TO THE AMOUNT YOU HAVE PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (WHICH MAY BE ZERO), OR FIVE U.S. DOLLARS, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify and hold harmless Uri Nachmias and any successors or assigns from any claim, demand, loss, or damage (including reasonable legal fees) arising out of: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any third-party right, including any recording-consent law applicable to a conversation you recorded with the Service.

Apple-specific terms (App Store EULA)

You acknowledge and agree, in addition to the standard Apple Licensed Application End User Licence Agreement (the "Apple EULA"), that:

  • These Terms are an agreement between you and us, not between you and Apple. Apple is not responsible for the Service or its content.
  • Apple has no obligation to provide maintenance or support for the Service.
  • In the event the Service fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you.
  • We, not Apple, are responsible for addressing any claims you or any third party have relating to the Service.
  • We, not Apple, are responsible for the investigation, defence, settlement, and discharge of any third-party intellectual-property infringement claim relating to the Service.
  • You represent that you are not located in a country subject to a US Government embargo and are not on any US Government list of prohibited or restricted parties.
  • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Termination

You may stop using the Service at any time by deleting the app. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms.

Changes

We may update these Terms when the Service changes meaningfully. Material changes will be announced inside the app on next launch and reflected in the "Effective" date at the top of this page. Your continued use after a change constitutes acceptance.

Contact & governing law

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service will be brought exclusively in the competent courts of Tel Aviv-Jaffa, Israel.
